Lead legal aspects of planning for and negotiation of corporate finance projects; 

Advise corporate finance team on legal aspects of projects and ensure compliance with CSRC regulations as well as PRC listing rules;

Provide post-transaction legal support with respect to corporate finance projects; 

If and when necessary, advise on all aspects of securities exchange compliance; 

Supervise outside counsels on projects and assist the Senior Legal Director with the management of outside counsel for corporate finance projects; 

Refine corporate finance and securities compliance-related internal policies and procedures; 

Assist with drafting and maintenance of corporate’s standard forms (English and Chinese) if necessary; 

Assist in the management of corporate governance issues and connected transactions; 

Monitor legal developments relevant to corporate finance projects, particularly with respect to those relating to financial institutions, and assist with training to corporate legal and corporate finance teams on all legal aspects of such

projects; and Perform other related work as assigned.

10+ years post-graduation experience in a leading PRC law firm (or also including some experience in a leading international law firm) and/or investment fund or investment bank 

Extensive corporate finance/IPO transactional experience focused on Mainland China, particularly with respect to financial institutions 

PRC qualification required, UK, US or HK qualification would be a bonus 

Strong knowledge of PRC laws relevant to public and private financings and public company securities compliance

Working knowledge of PRC regulatory framework with respect to financial institutions 

Excellent command of both Chinese and English and ability to participate in commercial discussions and review legal documents in either language 

Exposure to IT / technology / e-business industry would be highly advantageous
